Welcome to Riviera Television

These Terms of Use between BXD Ltd (trading as Riviera Television) and you (“Terms of Use”) govern your access to and use of Riviera Television productions, including all features and functionality, available via our Riviera Television owned and operated apps and the Riviera Television website located at https://rivieratelevision.tv (the “Site”).

By downloading one of our apps or registering an account on the Site and signing up to receive the Riviera Television functionality (i.e. Becoming a “Riviera Television User”) you agree to be bound by these Terms of Use. Availability of Riviera Television productions is limited and subject to availability.

1. Who makes Riviera Television available to me?
Riviera Television is operated and made available to you by BXD Ltd, which is a UK-based statutory corporation. (“C4”, “we”, “us, “our”).

2. Why is it important to read these Terms of Use?
2.1 Our Terms of Use are important because they confirm the legal DOs and DON’Ts which you need to be aware of when you use Riviera Television. Our Terms of Use set out the agreement between Riviera Television and you for your (and anyone who uses Riviera Television productions and their functionality) access to and use of Riviera Television productions. If you don’t agree to these Terms of Use, please don’t use our apps or sign up. If you have any questions about these Terms of Use, please contact us using any of the contact methods in the ‘Contacting us’ section below.
2.2 These Terms of Use apply regardless of the sort of device you are using to access the Riviera Television functionality. Therefore, they will apply whether you are using a computer, laptop, smart TV, mobile phone, smart phone, tablet, games console or any other device on which Riviera Television is available.

3. Should I read any other information or terms?
Please also read our Website Terms & Conditions of Use, Privacy Policy, DMCA Policy and GDPR Compliance statement. Each of these policies or notices forms part of these Terms of Use.

4. Access to Riviera Television functionality
4.1 By becoming an Riviera Television User, you will be able to access and view content on Riviera Television channels using your Riviera Television functionality, on these Terms of Use. When we refer to our “Riviera Television Content”, we mean the on-demand video, audio, text, images, trade marks, logos or other digital content made available to you by us on Riviera Television This includes content which is owned or controlled by third parties which we are permitted to make available to you. The Riviera Television functionality allows you to watch the majority of Riviera Television Content without ads and/or other commercial messages. Please be aware that for licensing reasons some Riviera Television Content will not be subject to the enhanced Riviera Television functionality and may still contain ads and/or other commercial messages.
4.2 To access some Riviera Television functionality you might need to register an account on the Site by providing your details where requested by us. To register a Riviera Television account you must be aged 16 years or older.

4.3 You may use Riviera Television at the same time on up to two devices.
4.4 When you sign up for Riviera Television you are responsible for all access to and use of Riviera Television by you and anyone else who uses your account (your “Riviera Television Account”).
4.5 We recommend that you do not reveal your payment details (where applicable), username and password to any other person. You agree to notify us immediately if you become aware of or suspect any unauthorised use of your password or username.

5. Free Trial
5.1 In the case of our paid services, your Riviera Television functionality may start with a free trial period. We reserve the right to grant or withhold free trial periods. Free trials are available to new Riviera Television users only (one per person) unless we tell you otherwise. You will be charged for the first month at the end of your free trial period, unless you cancel your Riviera Television Account at least 24 hours before the expiry of the free trial. We may notify you that your free trial is ending, or has ended, and that your first monthly payment has been taken.
5.2 You agree not to register multiple times for a free trial using multiple names, addresses, email addresses or other means. Any such action shall be a breach of these Terms of Use and may result in the termination of your Riviera Television Account.

6. Billing
6.1 In the case of our paid services, you will be charged for Riviera Television each month using the payment method provided when you first subscribed or set up your Riviera Television Account. Payments will be taken automatically on the first day of each new month. The first payment will be taken either on the day after any free trial period ends or, where no free trial period applies, on the day you subscribe to Riviera Television.
6.2 You can view details of your account, including the monthly fee, billing information and renewal date, end date of your free trial period (where relevant, see section 5, above), and how to cancel, in the ‘Account Settings’ area on the Site. You can also change your payment method in the ‘Account Settings’ area of the Site. It is your responsibility to update and maintain the payment method associated with your Riviera Television Account.
6.3 If a payment is not successfully made because your payment method has expired, you have insufficient funds, or otherwise, and you do not change your payment method or cancel your Riviera Television Account, we may cancel your Riviera Television Account, or suspend your access to the Riviera Television functionality until we have obtained a valid payment method. When you update your payment method, you authorise us to charge the updated payment method and you remain responsible for any uncollected amounts. This may result in a change to your payment dates or your payment periods. If we have cancelled Riviera Television, you will have to sign up again.
6.4 We reserve the right to change the date we charge you if your payment method has not been successfully authorised or if that renewal date does not occur in a given month.
6.5 For some payment methods, the relevant issuer may charge you certain fees relating to the processing of your payment method. Local taxes and charges may vary depending on the payment method used. Check with your payment provider for details.

7. Automatic renewal
Access to the Riviera Television functionality will automatically renew unless you cancel your Riviera Television Account at least 24 hours before your next renewal date. If you do not cancel Riviera Television at least 24 hours before the end of the current payment period (or free trial period), your access to Riviera Television will automatically renew. If your access to Riviera Television automatically renews, you will be charged the total fee due for the next month.

8. Subscription Price changes
8.1 We may change the price of Riviera Television from time to time. We may increase our prices:
(a) if the cost to us of providing the Riviera Television functionality increases (such as when we have to pay third parties more for their content);
(b) we introduce new Riviera Television Content;
(c) we change the way we structure the Site;
(d) we invest in improving our customer support; and/or
(e) other costs associated with running Riviera Television increase.
8.2 In addition, we provide our Riviera Television functionality on an on-going basis and we cannot foresee what may change in the future. This means we may increase our prices for reasons other than those set out above.
8.3 We will give you no less than 30 days’ notice of any price increase.
8.4 If we notify you of a price change and you do not want to continue to use the Riviera Television functionality at the new price, you can cancel your Riviera Television Account either: (i) before the start of the next payment period by following the steps in section 12 below; or (ii) at any time before the price change becomes effective by providing us with notice at the details set out in section 25, below.

9.How do I cancel Riviera Television?
9.1 You can cancel Riviera Television at least 24 hours before the end of the current payment period (or free trial period) and the cancellation will be effective at the end of the current paid period (or free trial period). This means that if you are part of the way through a paid period, you will be able to continue to use your Riviera Television functionality until the end of the current paid period.
9.2 To cancel your Riviera Television Account, go to the ‘Account Settings’ area on the Site.

10. Cooling-off Period
10.1 You can change your mind and cancel your Riviera Television functionality without giving any reason, any time up to 14 days from the date on which you sign up (“Cooling-off Period”).
10.2 If you are exercising your right to change your mind within 14 days of purchasing Riviera Television, we will refund you for the unused paid period from the date you told us you had changed your mind.

11. Refunds and credits
11.1 Except where you exercise your right to change your mind within the Cooling-off Period, payments are non-refundable and there are no refunds or credits for partially used billing periods. At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all of our Riviera Television Users. If we do this for any reason, this does not mean we are under any obligation to do so again, even in the same circumstances.
11.2 If you cancel part way through a month, we will not issue a refund but you will be able to continue to use the Riviera Television functionality until the end of the current paid period.

12. Supported devices and updates
12.1 Availability of the Riviera Television Site, your Riviera Television functionality and Riviera Television Content depends on the quality of your internet connection and device capabilities. Some features may not be available on all devices or internet browsers.
12.2 To get the best Riviera Television experience, we recommend that you accept any updates to your device, personal computer and internet browser as and when they become available.
12.3 Your use of any updates, modifications to, or replacement versions of the Site will be governed by these Terms of Use and any additional terms you agree to when you subscribe to such update, modification, or replacement version (if applicable).

13. Your data usage
You are responsible for all internet access, mobile data or other charges incurred when using the Site and your Riviera Television functionality. Remember that streaming audio-visual content such as videos can use up a lot of data.

14. Changes to Riviera Television and Riviera Television functionality
14.1 Riviera Television may regularly make changes to any element of Riviera Television productions, the Site, your Riviera Television functionality or the Riviera Television Content. In particular, the availability of Riviera Television Content, and any Riviera Television functionality in respect of that Riviera Television Content, may change from time to time (for various reasons, such as where relevant third party rights-holders withdraw, restrict or place obligations on our right to use that content on Riviera Television). We therefore have the right to add or withdraw or change Riviera Television Content at any time, with or without notice. You acknowledge and agree that the Riviera Television Content is variable and will change from time to time without notice. There may also be times when Riviera Television has to add or remove certain features or functionality and/or stop allowing certain devices or browsers from being able to access Riviera Television. We may also update or upgrade the Site from time to time.
14.2 If changes to the Site are likely to materially adversely affect Riviera Television, we will try to make sure that any changes will not adversely affect you during your current paid period so you have the chance to cancel your Riviera Television functionality before the next paid period begins by following the steps in section 9, above. If we have to make a materially adverse change to the Site or the Riviera Television functionality, we will give you 30 days’ notice and the right to cancel. If you do not cancel your Riviera Television Account after we have notified you about any changes and before these changes take place, we will take that as your acceptance of the changes.

15. Ownership
15.1 Riviera Television Content is protected by copyright, trademark, and/or other proprietary intellectual property rights owned by or licensed to us.
15.2 You have no intellectual property rights in, or to, Riviera Television, the Site, your Riviera Television functionality or the Riviera Television Content other than the right to use them in accordance with these Terms of Use.
15.3 You may not remove, alter or in any way tamper with any copyright notices or other proprietary markings included on Riviera Television, in the Site or any Riviera Television Content. Any copying, access, transfer, public performance or communication to the public or other use of Riviera Television, the Site, the Riviera Television Content or your Riviera Television functionality other than as expressly authorised by your local law or these Terms of Use shall constitute an infringement of applicable intellectual property rights and a breach of these Terms of Use. In the event of such infringement, we, or one of our affiliated companies, may, without notice or prior intervention of a court or arbitral body, block your access to Riviera Television and terminate any Riviera Television Account you may have and pursue any rights or remedies available to us.

16. Your use of Riviera Television
16.1 You confirm that: (a) any information and details provided by you to us, including on registration of a Riviera Television Account, are true, accurate and up to date in all respects and at all times; (b) you will at all times comply with these Terms of Use; and (c) you will not use the Site for any unlawful purpose or in a way which infringes the rights of anyone else.
16.2 You must use Riviera Television in accordance with all applicable laws, rules and regulations, and any other restrictions on your use of Riviera Television, the Site, your Riviera Television functionality or the Riviera Television Content.
16. You must not transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of Riviera Television, the Site, your Riviera Television functionality or Riviera Television Content.
16.4 Riviera Television including all Riviera Television Content are licensed to you (not sold) for your personal and non-commercial use only. While you are using Riviera Television, we grant you a limited, non-exclusive, non-transferable, licence to access the Riviera Television Content and stream the Riviera Television Content, but not including our live streaming service. Except for the limited licence granted to you in these Terms of Use, no right, title or interest in Riviera Television or any Riviera Television Content shall be transferred to you. You must not reproduce, perform, display or exhibit Riviera Television, the Site, your Riviera Television functionality or the Riviera Television Content in any public place.
16.5 You must not, and must not allow third parties to: (a) access, view and/or purchase your Riviera Television functionality or Riviera Television Content using a virtual proxy network; (b) display, perform, publish, licence, offer for sale, make and/or distribute copies of Riviera Television, the Site, your Riviera Television functionality or the Riviera Television Content; (c) attempt to copy, reproduce, alter, modify, reverse engineer, disassemble, decompile, transfer, exchange or translate Riviera Television productions, the Site, your Riviera Television functionality or the Riviera Television Content except as permitted by applicable law; (d) create derivative works of Riviera Television productions, the Site, your Riviera Television functionality or the Riviera Television Content of any kind whatsoever; or (e) circumvent, remove, alter, deactivate, degrade or thwart any of the content protections on Riviera Television, in the Site or the Riviera Television Content.

17. I’m concerned about my personal data. What can Riviera Television use this for?
Please see our Privacy Policy and GDPR Compliance Statement which explain what information we collect about you, how we use this and your rights.

18. Ending your right to use Riviera Television
18.1 We may end your right to use all or any part of the Riviera Television functionality, the Riviera Television Content and the Site immediately if we have a reasonable belief that you have breached these Terms of Use or if you are using the Site, the Riviera Television Content or your Riviera Television functionality in any manner other than for its intended purpose, or illegally.
18.2 If we decide to discontinue Riviera Television for any reason, we will aim to give you at least 30 days’ prior notice. In no event will we be liable in any way for the discontinuation of Riviera Television, the removal of or disabling of access to Riviera Television or the Site or for the withdrawal of any Riviera Television Content.
18.3 If we end your rights to use Riviera Television you must stop all activities authorised by these Terms of Use, including your use of your Riviera Television functionality.

19. Our liability to you
19.1 We accept liability for death or personal injury caused by our negligence or that of our employees and agents.
19.2 If we breach these Terms of Use we will only be liable for losses which are a reasonably foreseeable consequence of that breach. Losses are foreseeable where they could be contemplated by you and us at the time of you agreeing to these Terms of Use.
19.3 We are not responsible for:
(a) any use of Riviera Television, the Site or Riviera Television Content which isn’t authorised by us;
(b) any malfunction or interruption to Riviera Television, the Site or Riviera Television Content due to unforeseeable circumstances that prevent us from fulfilling our obligations to you;
(c) errors, viruses or bugs present in or arising from your use of Riviera Television, the Site or Riviera Television Content;
(d) incompatibility of Riviera Television, the Site or Riviera Television Content with any other software or hardware(including any of your devices); and
(e) any act or default of any third party platform, supplier, device manufacturer or provider of a device operating system, which are beyond our reasonable control.
19.4 You have certain statutory rights under the applicable laws of the United Kingdom. Nothing in these Terms of Use is intended to affect these statutory rights.
19.5 Apart from liability arising in respect of the circumstances set out in section 19.1 (which is unlimited), to the fullest extent permitted under English law, in no event shall our total liability to you for all damages arising from your use of Riviera Television, the Site or the Riviera Television Content or your Riviera Television functionality, exceed the amount you have paid for Riviera Television in the previous six month period preceding your bringing a claim.
19.6 We can’t guarantee that Riviera Television, the Site or the Riviera Television Content will be free from bugs or errors or that your access will be free from interruptions (for example there may be downtime for maintenance or updates or any power or server outages or other reasons outside our control).
19.7 Please note that we are not responsible for any lack of functionality or failure to provide any part of Riviera Television, the Site or the Riviera Television Content, or any loss of content or data that is due to: your equipment, devices, operating system or internet connection, your failure to download the most recent app or the Site or meet the compatibility requirements or the consequences of you changing your equipment, device, operating system or internet connection.

20. Changes to these Terms of Use
20.1 We may, from time to time, change these Terms of Use.
20.2 We will aim to notify you at least 30 days before making any material changes to these Terms of Use, unless the changes need to be implemented quickly for security, legal, regulatory or rights reasons in which case we will notify you of the changes as soon as we can.
20.3 If any change to these Terms of Use will materially disadvantage you, or materially reduce the availability of the Site, we will provide you with at least 30 days’ notice before the changes become effective and you can choose to cancel your Riviera Television Account before the changes become effective (see section 14).
20.4 If you continue to use Riviera Television following any change to these Terms of Use, we will take this as your acceptance of the amended Terms of Use. The most up to date Terms of Use will always be available on the Site. You should review these Terms of Use regularly to check whether they have been changed or updated.

21.Transfer of rights
The agreement between us and you is personal to you and no third party is entitled to benefit under it. You agree we can transfer our rights and obligations under these Terms of Use to any company, firm or person, provided that your Riviera Television functionality will not be adversely affected as a result of such transfer. You may not transfer your rights or obligations under these Terms of Use to anyone else.

22. Governing law
These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales.

23. What if I have a complaint?
23.1 About our channels
If you wish to comment on one of our published channels or programmes, you can Contact us via this Site.
23.2 About breach of copyright
If you see any content which appears on Riviera Television which you consider to infringe your copyright, please let us know by using the Contact Form. When you notify us about a copyright infringement you will need to: (a) provide your contact details; (b) identify the infringing content; and (c) confirm that you own the copyright in the content and that its publication has not been authorised by you.
Following receipt of this notification, we will consider whether the content ought to be taken down.

24. Communications
We will send you information relating to your Riviera Television Account and your Riviera Television functionality (e.g. payment authorisations, invoices, changes in password or payment method, confirmation messages, content and feature updates and other service or transactional messages) by email to the email address you provide during sign up.
